In this session, we will present the importance and relevance for ESG topics in the corporate structure and especially for board members. The implementation of ESG topics often appears as a pressure coming from a number of different quarters, such as the government, shareholders and other pressure groups. We will point out the link between ESG topics, resilience and sustainability which gives the company a base to prevail in a long-term view and will present the implications for European companies and their directors. Also, we show the risks for board members and the impact of relevant provisions and ESG topics in general. Lastly, we will point out measures for companies how to manage these challenges.

Dr. Alexandra Schluck-Amend

With a focus on corporate and insolvency law Alexandra Schluck-Amend is an expert on reorganising and restructuring companies with or without insolvency proceedings. She prepares and implements restructuring plans and insolvency plans in accordance with the German Insolvency Code and advises groups on internal and external financings and restructurings and on distressed M&A deals. In this context, her work often revolves around avoiding liability risks for the parent company, other group companies and their management in the event of subsequent insolvency proceedings or the sale of a group company. She also advises on insolvency-related clawback and avoidance actions and strategies to minimize these risks and gives advice to creditors regarding the best way possible to protect their interests on the crisis of a business partner. Alexandra has a special automotive sector expertise.
Alexandra joined CMS in 2002 after studying economics and law and having worked within the field of insolvency administration and was made partner in 2008. Since 2002, she has been teaching at Heidelberg University and since 2005 also at Andrássy University Budapest where she was appointed Honorary Professor in 2013.

Jonathan Marsh

Jonathan Marsh has developed extensive experience over the past 29 years in international business transactions, with over 20 years’ experience in the energy sector, involving long term projects with long investment horizons. He has deep knowledge of geopolitical and legal risk assessments. Recognized within his profession, Mr. Marsh serves in leadership roles in French and European professional associations. Jonathan Marsh currently serves as Deputy General Counsel of the Marketing Services Division of the Total S.A. Group legal department. In this role Mr. Marsh manages the legal activities performed by 170 in-house legal counsel in over 100 countries. He serves on the Group Legal Committee consisting of 10 General Counsel supervising the global team of 550 lawyers in the Total Group. Previously Mr. Marsh was International General Counsel from 2015 to 2017.
From 2002 to 2015, Mr. Marsh led the Mergers, Acquisitions and Finance Division of the Total S.A. Holding Group Legal Department.Mr. Marsh also served as Group US Counsel, supervising in particular relations with the U.S. Securities and Exchange Commission.
Mr. Marsh also serves as President of the European Company Lawyers Association, as Vice President International Affairs and on the Board of Directors of the French In-house Counsel Association (Association Française des Juristes d’Entreprises – AFJE) as well as on the Management Committee of the French M&A Association (Association des Responsables de Fusions Acquisitions).
Mr. Marsh holds a Juris Doctor (Graduating cum laude and recipient of the Order of the Coif), and a Bachelor of Arts in International Relations (Economic Phases) and French from the University of Wisconsin ‐ Madison. Nominated by the French Prime Minister, Mr. Marsh participated in the 65thNational Session (2012-13) of the French Institut des Hautes Etudes de Défense Nationale, a military training program focusing on geopolitical risks and strategies for high ranking military officers and private sector leaders.
