ADDRESSING ESG IN THE M&A PROCESS
ADDRESSING ESG IN THE M&A PROCESS
Exclusive invite-only event
5 September 10:00 – 12:00 CEST
As the importance of Environmental, Social, and Governance (ESG) factors continues to rise in the corporate world, understanding and effectively incorporating them into Mergers and Acquisitions (M&A) processes is critical for any General Counsel/Head of Legal. ESG integration in M&A is no longer optional; it’s a critical component of due diligence, valuation, and risk assessment that can significantly impact a transaction’s outcome.
As a legal leader, your role in integrating ESG into the M&A process is essential. The due diligence process should be extended to cover all relevant ESG risks and opportunities, and this analysis should feed into the valuation and negotiation processes. Collaborating with sustainability experts, financial advisors, and compliance officers to understand the full ESG profile of a target company is crucial.
In addition to the due diligence process, the legal team is responsible for ensuring that ESG-related representations, warranties, and indemnities are included in transaction documents to protect against potential risks and liabilities. Furthermore, post-acquisition, the legal team will play a pivotal role in the integration process to ensure the acquired company aligns with the acquiring company’s ESG standards.
ESG integration in the M&A process is a key consideration that can no longer be overlooked. Legal’s role is pivotal in this process, from thorough due diligence to the final integration. Recognising and addressing ESG factors will not only help mitigate potential risks but also unlock value, contributing to a more sustainable and resilient business future.
